Legal / Terms
Clear rules from the start.
Terms of use of the site and of engaging DWAS services.
1. Identification and acceptance
These Terms and Conditions (the "Terms") govern access to and use of this website (the "Site"), owned by DWAS Solutions, domiciled in the Republic of Panama ("DWAS", "the Company" or "we").
Accessing, browsing or submitting any form implies acceptance of these Terms. If you do not agree, please do not use the Site.
2. Nature of the information
The Site is informational and commercial. Its content is not a binding offer, nor legal, tax, accounting or financial advice, and may change without notice. Any prices, timelines, scopes or examples shown are for reference only: the applicable terms are exclusively those of the formal proposal accepted in writing.
The interfaces and dashboards shown on the Site are illustrative recreations with fictitious data.
3. Permitted use
Users agree to use the Site lawfully and to refrain from: unauthorized access or penetration testing; automated content extraction without permission; introducing malicious code; impersonation or using the forms for spam or fraud; and reproducing or commercially exploiting the content without permission. We may block access to anyone who breaches these rules.
4. Engaging our services
- Every engagement is formalized through a written proposal or quote expressly accepted by the client (email, signature or payment of the deposit).
- Quotes are valid for 15 calendar days unless stated otherwise.
- Unless agreed otherwise, payment is 50% upfront and 50% on delivery.
- The scope is exclusively what the proposal details; anything not included requires an additional quote.
- If a signed proposal contradicts these Terms, the proposal prevails on the matters it covers.
- Prices are in US dollars (USD) and exclude taxes, third-party licenses and recurring platform costs unless expressly stated.
5. Scope and no guarantee of results
We provide our services to reasonable professional standards, under an obligation of means, not of commercial results. We do not guarantee increases in sales, traffic, rankings, conversions or other business results, nor the uninterrupted availability of third-party platforms or APIs. Reports, dashboards and automations are support tools; final decisions rest with the client.
6. Client obligations
The client must provide the necessary information, content, access and approvals on time; appoint a contact with decision-making authority; hold the rights to any material it provides; keep the required third-party licenses and services in its own name (hosting, domains, platforms, APIs, business accounts); and comply with the rules applicable to its operation. Delays or extra costs caused by the client's non-compliance are not attributable to DWAS.
7. Third-party platforms
Solutions may rely on third-party services (Meta/WhatsApp, CRM, ERP, automation, cloud, payment gateways, artificial intelligence, hosting), governed by their own terms and pricing. DWAS neither controls nor is liable for their outages, API changes, prices, restrictions, suspensions or account closures. The client is responsible for keeping its accounts active and compliant.
8. Automations and artificial intelligence
Chatbots, assistants and AI components may produce inaccurate responses and require human oversight. DWAS is not liable for automatically generated content or for what the system communicates to third parties on the client's behalf; the client must define and approve its messages, flows and limits.
9. Intellectual property
The Site's content (text, design, trademarks, logos, code and graphics) belongs to DWAS or its licensors. Deliverables built for a client are transferred once full payment is received. DWAS retains its methodology, know-how, templates and reusable components. Third-party software is governed by its own licenses.
10. Confidentiality and references
Both parties will keep non-public information confidential during the relationship and for three (3) years afterwards. Unless the client objects in writing, DWAS may mention its name, logo and a general description of the project in its portfolio, without disclosing confidential information, internal figures or personal data.
11. Support and limited warranty
We fix at no cost defects attributable to our development reported in writing within 30 calendar days of delivery. The warranty does not cover third-party changes or failures, modifications by the client or others, unintended uses or new features. Ongoing maintenance is contracted separately.
12. Limitation of liability
To the fullest extent permitted by Panamanian law, the Site is provided "as is" and DWAS is not liable for indirect damages, lost profits, data loss or business interruption. DWAS's total liability will not exceed the amount paid by the client for the service giving rise to the claim during the preceding six (6) months. Nothing here excludes liability that cannot legally be excluded.
13. Indemnity and force majeure
The client will hold DWAS harmless from claims arising from materials it provides, the use of deliverables or non-compliance with the rules applicable to its operation. Neither party is liable for failures caused by force majeure; timelines will be reasonably rescheduled.
14. Late payment, suspension and termination
- Late payment allows work, deliveries and access to be suspended until settled.
- Deposits are non-refundable once work has started.
- If the client cancels, it will pay for the work performed up to the notice.
- Either party may terminate for material breach, with written notice and 15 days to cure.
- Client inactivity for more than 60 days allows the project to be closed and the work performed to be invoiced.
15. Personal data, changes and governing law
Data processing is governed by our privacy policy. We may amend these Terms; the current version is the one published, with no retroactive effect on projects already contracted. If any clause is held invalid, the rest remain in force.
These Terms are governed by the laws of the Republic of Panama. The parties will try to resolve any dispute through direct negotiation for 30 days; failing that, they submit to the competent courts of Panama City.
